1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Shadow Solutions LLC, an Illinois limited liability company ("Shadow Solutions," "we," "us," or "our"), governing your access to and use of Caleo, including the Caleo Microsoft Teams app, related APIs, web services, integrations, and any associated websites (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Service.

2. Overview of the Service

Caleo is an AI-powered meeting and scheduling assistant designed to help users create, manage, and organize calendar events through integrations with Microsoft Teams and Microsoft Graph.

Caleo allows users to:

• Authenticate securely via Microsoft OAuth.
• Create, modify, and retrieve meetings from Microsoft 365 calendars.
• Interact with an AI assistant (powered by OpenAI) for scheduling-related commands.
• Access additional integrations and features as provided over time.

Use of the Service requires a valid Microsoft account and acceptance of Microsoft's separate terms of service.

3. Eligibility

You must be at least 18 years old to use the Service.

By using Caleo, you represent and warrant that:

• You have the legal capacity to enter into these Terms.
• You are not barred from using the Service under applicable law.
• Your use of the Service complies with all applicable laws and regulations.

If you use the Service on behalf of an organization, you agree that you are authorized to bind that organization to these Terms.

4. Accounts and Authentication

Caleo uses Microsoft OAuth 2.0 for authentication. When you connect your Microsoft account, you grant Caleo permission to access limited information through the Microsoft Graph API, including your calendar and profile data.

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• Ensuring only authorized personnel access the account.
• Immediately notifying us of any unauthorized access or security breach.

We are not liable for losses arising from unauthorized account use.

5. Acceptable Use Policy

You agree not to misuse or abuse the Service. Specifically, you agree not to:

• Use Caleo for unlawful, harmful, or fraudulent activities.
• Attempt to gain unauthorized access to any systems, servers, or networks.
• Reverse-engineer, decompile, or attempt to extract source code.
• Circumvent security or authentication mechanisms.
• Use automated scripts, bots, or scrapers to interact with the Service.
• Interfere with or disrupt other users' access or the normal functioning of the Service.

We reserve the right to suspend or terminate any account found in violation of these restrictions.

6. Subscription and Payments

Caleo may offer free and paid tiers, with pricing and features subject to change.

Billing: Payments are handled via Stripe or other approved payment processors.

Trials: Free trials may be provided at our discretion.

Refunds: Unless otherwise required by law, payments are non-refundable once processed.

Changes: We reserve the right to modify pricing, tiers, or billing methods with prior notice.

By subscribing, you authorize Shadow Solutions LLC to charge your chosen payment method in accordance with applicable plan details.

7. Intellectual Property Rights

All intellectual property related to Caleo — including software, source code, design elements, text, graphics, trademarks, and logos — is owned by Shadow Solutions LLC or its licensors.

You may not:

• Copy, distribute, or create derivative works from the Service.
• Remove or alter branding, attributions, or copyright notices.
• Use our trademarks or logos without express written consent.

All rights not expressly granted in these Terms are reserved by Shadow Solutions LLC.

8. User Content

When using Caleo, you may input data, commands, or text for processing (collectively, "User Content").

You retain ownership of your User Content. However, you grant Shadow Solutions LLC a limited, non-exclusive, revocable license to process that content solely to provide the Service.

We do not claim ownership of calendar data, event metadata, or communication content created via the Microsoft Graph API.

9. AI and Automation Disclaimer

Caleo leverages OpenAI's language models for natural language processing. You acknowledge that AI-generated responses may occasionally produce inaccurate or incomplete information.

The Service is provided "as-is," and you agree not to rely on AI-generated content for legal, medical, or mission-critical purposes. Shadow Solutions LLC disclaims liability for any damages arising from reliance on such output.

10. Data Privacy and Security

We take privacy and security seriously. Our data practices are detailed in our Privacy Policy.

Key points include:

• Tokens and personal data are encrypted and stored securely in Supabase (U.S. East).
• We use HTTPS/TLS for all communications.
• Data is not shared with third parties except subprocessors (Microsoft, OpenAI, Supabase).
• Users may revoke Microsoft Graph access at any time.

By using the Service, you consent to data processing as outlined in the Privacy Policy.

11. Availability and Maintenance

We strive for 99% uptime but do not guarantee uninterrupted access. Maintenance, updates, or outages may temporarily affect availability.

We are not responsible for:

• Internet connectivity issues.
• Failures caused by third-party platforms (e.g., Microsoft Teams outages).
• Events outside our control (e.g., force majeure, cyberattacks).

12. Termination

We may suspend or terminate your access to Caleo at any time if:

• You breach these Terms.
• Your use endangers our systems or other users.
• Required by law or at the request of Microsoft or OpenAI.

Upon termination:

• Your tokens and stored data are deleted within 7 days.
• Your access to premium or AI features is revoked immediately.

13. Indemnification

You agree to indemnify and hold harmless Shadow Solutions LLC, its officers, employees, and affiliates from and against any claims, damages, losses, or expenses (including legal fees) arising from your:

• Misuse of the Service,
• Violation of these Terms, or
• Violation of applicable laws or third-party rights.

14. Limitation of Liability

To the maximum extent permitted by law:

• Shadow Solutions LLC shall not be liable for indirect, incidental, or consequential damages arising from use of the Service.
• Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.
• Caleo is provided "as is" without warranties of any kind, including implied warranties of merchantability or fitness for a particular purpose.

15. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, USA, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Cook County, Illinois. You agree to submit to the personal jurisdiction of those courts.

16. Changes to These Terms

We may revise these Terms at any time by posting an updated version at https://caleoai.com/terms.

Your continued use of Caleo after updates constitutes acceptance of the revised Terms. If you do not agree, you must discontinue use of the Service.
